1. About Us

Carrie King Coaching is a coaching practice based in Nashville, Tennessee. We offer individual coaching sessions, coaching packages, digital resources (including a free ebook), and related services.

2. Eligibility

You must be at least 18 years old and able to enter into a legally binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Not a Substitute for Medical or Mental Health Care

Coaching is not therapy, counseling, medical treatment, psychiatric care, or mental health care. Your coach does not diagnose, treat, or cure any mental or physical health conditions. Coaching is not a substitute for licensed professional services.

If you are experiencing acute mental health distress, a crisis, or clinical-level symptoms, please seek appropriate professional support. In the United States, you can call or text 988 (the Suicide & Crisis Lifeline) or contact your local emergency services if you are in immediate danger.

4. The Services

5. Account Registration and Client Portal

To access certain Services, including coaching sessions and billing, you must create an account through our client portal. You agree to:

• •Provide accurate and complete information during registration
• •Keep your password secure and confidential
• •Notify us immediately of any unauthorized use of your account
• •Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these Terms or your Coaching Agreement.

6. Payments

All payments are processed through Stripe. By providing payment information, you authorize Stripe to charge your selected payment method as described at the point of sale and in your Coaching Agreement (and Payment Plan Agreement, where applicable). We do not store full credit card numbers or security codes; Stripe handles those securely.

As part of client onboarding, all coaching clients are required to add a payment method on file through Stripe. The specific circumstances under which your card may be charged are described in your Coaching Agreement.

7. Cancellation and No-Show Policy

For coaching sessions, you must provide at least 24 hours' notice to cancel or reschedule. Sessions canceled with less than 24 hours' notice or considered a no-show (client is more than 15 minutes late) will be charged in full. Full cancellation terms are set forth in your Coaching Agreement.

8. Refund Policy

Coaching packages are non-refundable, whether paid in full or via payment plan. In rare circumstances (such as serious illness or major life events), partial or prorated adjustments may be granted at our sole discretion.

In the event that we are unable to continue providing services, any unused prepaid sessions will be refunded to the affected client on a prorated basis, calculated based on the per-session rate of the package purchased.

Digital products and single sessions are sold on a final-sale basis, except as required by applicable law.

9. Intellectual Property

All content on the Services — including text, graphics, logos, images, audio, video, course materials, coaching methodologies, and digital products — is the property of Seth Schaeffer Enterprises, Inc. (d/b/a Carrie King Coaching) or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may access and use the content for personal, non-commercial purposes in connection with the Services. You may not copy, redistribute, sell, publish, or create derivative works from our content without our prior written consent.

The marks "Carrie King Coaching," associated logos, and related branding are trademarks of Seth Schaeffer Enterprises, Inc. and may not be used without permission.

10. Permitted Use

You agree not to:

• •Use the Services for any unlawful purpose or in violation of any applicable law
• •Attempt to gain unauthorized access to the Services, other user accounts, or our systems
• •Interfere with or disrupt the Services or our servers
• •Use any automated means to scrape, copy, or extract data from the Services
• •Record, transmit, or distribute coaching sessions without our prior written consent
• •Harass, abuse, or harm any other user or our staff

11. Third-Party Services

The Services integrate with third-party providers, including:

• •Stripe (payment processing)
• •Resend (transactional and newsletter email delivery)
• •Calendly (consultation scheduling)
• •Twilio (SMS notifications, where applicable)
• •Google Analytics (website analytics)
• •Replit (hosting infrastructure for the client portal)

Your use of these third-party services is governed by their own terms and privacy policies. We are not responsible for the practices of third-party services.

12. No Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not guarantee that:

• •The Services will be uninterrupted, secure, or error-free
• •Coaching will produce any specific result or outcome
• •The information provided through the Services is accurate, complete, or reliable for any particular purpose

You acknowledge that coaching outcomes depend on many factors, including your own effort, circumstances, and commitment.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Seth Schaeffer Enterprises, Inc., its officers, employees, coaches, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including without limitation damages for lost profits, lost data, personal injury, or emotional distress.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim or (b) one hundred U.S. dollars ($100).

You participate in coaching voluntarily and accept full responsibility for your choices and outcomes.

14. Indemnification

You agree to indemnify, defend, and hold harmless Seth Schaeffer Enterprises, Inc. (d/b/a Carrie King Coaching) and its officers, employees, coaches, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• •Your use of the Services
• •Your violation of these Terms or your Coaching Agreement
• •Your violation of any rights of any third party

15. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, your Coaching Agreement, or applicable law. Financial obligations already incurred (including remaining payment plan installments) remain due upon termination.

You may stop using the Services at any time. Termination of the coaching relationship is further governed by your Coaching Agreement.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, for material changes, provide reasonable notice (for example, by email or a notice on our website). Your continued use of the Services after an update constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Davidson County, Tennessee, and you consent to the exclusive jurisdiction of those courts.

18. Miscellaneous

Entire agreement. These Terms (together with your Coaching Agreement, Payment Plan Agreement, and our Privacy Policy, where applicable) constitute the entire agreement between you and us regarding the Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at our discretion.
